Licence & Terms of Use

This page summarises the key rules on rights of use, liability and warranty for TwoStack web projects – short and easy to read. The full services agreement is provided separately before contract conclusion and signed by both parties.

Note: This page is a plain-language summary. Legally binding is only the services agreement that is signed by both parties before the project starts. You receive the full contract on request or, at the latest, with our offer.

Rights you receive

Upon full payment, you receive the following rights to the work results individually created for you (source code, configurations, templates, documentation):

A simple, non-exclusive and unlimited (in time) right of use for the contractually intended purpose – typically operation on your domain.
The right to modify, extend and adapt the source code for your own purposes.
The right to move the website to another hosting provider – no vendor lock-in.
The right to commission third parties for maintenance and further development.
The right to make backup copies.
Content that you provide yourself (text, images, logos) remains unchanged in your ownership.
The complete source code of your project in your own repository with permanent access, including database and file export from the admin area.

Rights retained by TwoStack

The following rights are expressly retained by TwoStack GmbH:

Moral rights pursuant to §§ 19 et seq. of the Austrian Copyright Act.
"Background IP": rights in reusable, generic components, libraries, tools and frameworks, and in the TwoStack WMP product base your project builds on. We may keep using these building blocks in other projects. The result created individually for you is not affected.
Trademark, logo and design rights of TwoStack GmbH (see "Our brands" on the About page).
The right to mention the project as a reference with your consent. You may object at any time in text form for legitimate reasons.
Ownership and licences of the open-source libraries and components used – these remain with their respective licensors.

Third-party components

The delivered website uses open-source components (e.g. Next.js, React, Bootstrap, Framer Motion, Inter font), which are subject to the licences of their respective authors – mostly MIT, BSD or SIL OFL. You agree not to remove the licence notices contained therein.

Warranty

Statutory warranty provisions apply. We warrant that the services rendered substantially conform to the agreed specification.

Not covered by the warranty are defects caused by:

changes or interventions by you or third parties,
improper use,
disruptions or changes at hosting providers or third-party software,
incompatible system environments outside the agreed specification.

Limitation of liability

We are liable – to the extent permitted by law – under the following rules:

For intent and gross negligence we are liable without limitation.
In the event of slight negligence we are liable only in case of a breach of material contractual obligations (cardinal duties) and only for the typical, foreseeable damage.
Liability is in total limited to the amount of the respective contract value.
Liability for lost profit, indirect damages, consequential damages and loss of production is excluded to the extent permitted by law.
Liability for data loss is excluded if the damage could have been avoided by proper and regular data backups.
For consumers, mandatory provisions of the Austrian Consumer Protection Act (KSchG) take precedence; the limitations above apply only to the extent compatible therewith.

Governing law & jurisdiction

Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction for disputes is – to the extent permitted by law – Vienna. For consumers, mandatory statutory rules on jurisdiction apply.
